Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") form a binding agreement between MUAWI TECHNOLOGIES LLP, a limited liability partnership incorporated in India (LLPIN ADB-2688, registered office Hyderabad, Telangana, India - 500049) ("MUAWI", "we", "us"), and you — the individual or entity accessing Orlin ("you", "Customer").

By creating an account, connecting an Instagram account, or using Orlin in any way, you confirm that you have read, understood, and agree to these Terms and to the Privacy Policy and Cookie Policy, which are incorporated by reference.

If you do not agree, do not use Orlin.

If you are agreeing on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.


2. Definitions

3. Eligibility and your Account

3.1 You must be at least 18 years old and legally capable of entering into a contract.

3.2 You must provide accurate, current, and complete registration information and keep it updated.

3.3 You are responsible for all activity under your Account and for keeping your credentials confidential. Enable multi-factor authentication where offered. Notify us at support@orlin.social immediately if you suspect unauthorised access.

3.4 One person or entity per Account, unless you are on a plan that expressly permits team seats. Do not share login credentials.

3.5 We may refuse registration, or suspend or close an Account, in accordance with Section 15.


4. The Service

4.1 What Orlin does. Orlin lets you configure automated responses to Instagram Direct Messages, comments, and story replies, hand conversations to a human agent, and publish a link-in-bio page.

4.2 Orlin is a tool, not a party to your conversations. Automations run according to the rules you configure. You decide what messages are sent, to whom, and when. We do not review, approve, or endorse the content of your automations.

4.3 Changes. We may add, modify, or discontinue features. For changes that materially reduce core functionality on a paid plan, we will give at least 30 days' notice; if the change materially harms you, you may cancel and receive a pro-rata refund of prepaid, unused fees.

4.4 Beta features. Features labelled beta, preview, or experimental are provided as-is, may be withdrawn at any time, and are excluded from any service commitments.


5. Connecting Instagram and Meta compliance

This section is important. Read it in full.

5.1 Authorisation. To use the messaging features, you must connect an Instagram Professional account through Meta's official authorisation flow and grant the permissions Orlin requests. You represent that you own the Connected Account or are authorised by its owner to connect it.

5.2 You must comply with Meta's rules. Your use of Orlin is also subject to the Meta Terms. You are responsible for reading and complying with them. A violation of the Meta Terms is a violation of these Terms. In particular you must not use Orlin to:

  • send unsolicited, bulk, or promotional messages to people who have not initiated contact or consented to receive them;
  • send messages outside Instagram's permitted messaging windows, or misuse message tags to circumvent them;
  • engage in spam, engagement bait, artificial engagement, or follower/like/comment manipulation;
  • impersonate any person or business, or misrepresent your affiliation;
  • automate actions Meta prohibits from being automated, or attempt to bypass Meta's rate limits or technical restrictions;
  • scrape, harvest, export, or resell data obtained through the Meta APIs;
  • use Meta data for advertising, ad targeting, or profile enrichment;
  • present automated messages in a way that deceives an End User into thinking they are speaking to a human when Meta's policies require disclosure.

5.3 Disclosure to End Users. Where required by law or by Meta's policies, you must make clear to End Users that they may be interacting with an automated system, and provide a way to reach a human.

5.4 Your own privacy obligations. You are the controller / data fiduciary for End User data processed through your Connected Account. You must have a lawful basis for that processing, publish your own privacy notice, honour End User rights requests, and comply with all applicable data protection and electronic communication laws — including the DPDP Act 2023, CAN-SPAM, TCPA, and equivalents. Our Data Processing Addendum, available on request from legal@orlin.social, governs our processing on your behalf.

5.5 Meta may change things. Meta controls its APIs and policies. Meta may change, restrict, deprecate, or terminate API access at any time, with or without notice, and may suspend or disable your Instagram account or ours. We are not responsible for any resulting loss of functionality, data, or access. If Meta's changes make a feature impossible to provide, Section 4.3 applies.

5.6 Independence. Orlin is an independent product. MUAWI is not affiliated with, endorsed by, sponsored by, or in any partnership with Meta Platforms, Inc. "Instagram", "Meta", and "Facebook" are trademarks of Meta Platforms, Inc., used here only descriptively.


6. Acceptable use

You must not, and must not permit anyone else to:

6.1 Content and conduct. Use Orlin to create, send, or host content that is unlawful, defamatory, obscene, sexually explicit, hateful, harassing, threatening, discriminatory, or that promotes violence, self-harm, terrorism, or illegal activity.

6.2 Deception. Run scams, phishing, pyramid or Ponzi schemes, fake giveaways, counterfeit goods, fake reviews, or engagement farming; or impersonate any person or entity.

6.3 Prohibited categories. Use Orlin to promote or sell illegal drugs, prescription pharmaceuticals without authorisation, weapons or ammunition, adult sexual services, human trafficking, endangered wildlife, unlicensed financial or gambling products, or anything else prohibited by applicable law or by Meta's Community Standards.

6.4 Malware and interference. Upload viruses or malicious code; interfere with, disrupt, or overload the Service or its infrastructure; circumvent rate limits, authentication, or security controls.

6.5 Reverse engineering. Copy, decompile, disassemble, reverse-engineer, or attempt to derive the source code of the Service, except to the extent this restriction is unenforceable under applicable law.

6.6 Competitive use. Access the Service to build a competing product, benchmark it for a competitor, or resell it as your own without a written reseller agreement.

6.7 Rights of others. Infringe intellectual property, publicity, or privacy rights.

6.8 Data misuse. Sell, rent, or transfer End User data to third parties; use it for purposes the End User would not reasonably expect; or export it for bulk marketing.

We may investigate suspected violations and take any action we consider appropriate, including removing content, suspending automations, suspending your Account, and reporting to Meta or law enforcement.


7. Customer Content

7.1 Ownership. You retain all rights in your Customer Content. We claim no ownership.

7.2 Licence to us. You grant MUAWI a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, display, and adapt Customer Content solely to the extent necessary to operate and support the Service for you, and to comply with law. This licence ends when you delete the content or your Account, subject to backup rotation.

7.3 Your responsibility. You represent that you own or have the rights to your Customer Content and that it does not violate these Terms, the Meta Terms, or any law. You are solely responsible for it.

7.4 Link-in-bio pages. You are the publisher of your link-in-bio page and everything on it, including any product claims, prices, disclosures, and outbound links. We do not review page content before publication but may remove pages that violate Section 6.

7.5 Removal. We may remove or disable access to Customer Content that we reasonably believe violates these Terms or the law. Where practicable we will notify you and give you a chance to fix it, unless doing so would be unlawful or risk harm.


8. Feedback

If you send us ideas, suggestions, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction, obligation, or compensation to you. You are not required to send feedback.


9. Fees, billing, and taxes

9.1 Plans. Current pricing is at https://orlin.social/#pricing. Subscriptions are billed in advance, monthly or annually, as you select.

9.2 Payment. By subscribing, you authorise us and our payment processor to charge your payment method on a recurring basis until you cancel. You are responsible for keeping your payment method valid.

9.3 Taxes. Prices are exclusive of taxes unless stated. Indian customers will be charged GST at the applicable rate. Customers outside India are responsible for any withholding, VAT, or import taxes in their own jurisdiction. Provide a valid GSTIN or tax ID where required for correct invoicing.

9.4 Renewal. Subscriptions renew automatically at the end of each billing period at the then-current price. We will notify you at least 14 days before any price increase applies to your renewal.

9.5 Cancellation. You may cancel at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period. You retain access until then.

9.6 Refunds. Except where required by law or expressly stated in Section 4.3, fees are non-refundable, including for partial periods and unused capacity.

9.7 Failed payments. If a charge fails, we may retry, and suspend or downgrade your Account immediately, following notice. Data associated with the Account is retained and deleted per the Privacy Policy retention schedule.

9.8 Free trial. If we offer a trial, it converts to a paid Subscription at the end of the trial unless you cancel before it ends. Trials are limited to one per person or entity.

9.9 Usage limits. Plans include limits (messages, automations, seats, pages). Exceeding them may result in throttling, additional charges as published, or a required plan upgrade.


10. Intellectual property

The Service, including all software, designs, text, graphics, logos, and the Orlin name and marks, is owned by MUAWI and protected by intellectual property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes for the duration of your Subscription. All rights not expressly granted are reserved.

You may not use our name, logo, or marks without our prior written permission, except to accurately state that you use Orlin.


11. Confidentiality

Each party may receive non-public information from the other. The receiving party will protect it with at least reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and advisers bound by confidentiality obligations, or as required by law (with prior notice where permitted). This does not apply to information that is public through no fault of the receiving party, independently developed, or lawfully received from a third party.


12. Third-party services

The Service integrates with Meta and may integrate with other third-party services. Those services are governed by their own terms and privacy policies. We do not control them, do not endorse them, and are not liable for their acts, omissions, availability, pricing, or data practices. Your dealings with them are between you and them.


13. Disclaimers

13.1 The Service is provided "as is" and "as available". To the maximum extent permitted by law, MUAWI disclaims all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.

13.2 We do not warrant that the Service will be uninterrupted, error-free, secure, or that every message will be delivered. Message delivery, automation performance, and account access depend on Meta's platform, which we do not control, and we are not liable for any loss or disruption arising from: (a) Meta platform outages or degraded performance; (b) dropped, delayed, or duplicated webhook events; (c) API rate limiting, throttling, or quota changes imposed by Meta; or (d) Meta-side account verification, checkpoint, CAPTCHA, or similar lockouts triggered on your Connected Account, whether or not related to your use of Orlin.

13.3 We make no guarantee of business results — no guarantee of engagement, followers, leads, conversions, sales, or revenue. Any figures shown in marketing are illustrative.

13.4 We are not responsible if Meta restricts, suspends, rate-limits, shadow-bans, or terminates your Instagram account, whether or not connected to your use of Orlin.

13.5 We do not provide legal advice. You are responsible for determining whether your use of Orlin complies with the laws that apply to you.


14. Limitation of liability

14.1 To the maximum extent permitted by law, MUAWI, its partners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or data, however caused and under any theory of liability, even if advised of the possibility.

14.2 Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you actually paid us for the Service in the 12 months immediately preceding the event giving rise to the claim, or (b) INR 5,000.

14.3 These limits do not apply to liability that cannot be excluded by law, including for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

14.4 You acknowledge that these limitations are a fundamental basis of the bargain and that the pricing of the Service reflects them.


15. Suspension and termination

15.1 By you. Cancel any time under Section 9.5, or delete your Account as described in the Privacy Policy.

15.2 By us — for cause. We may suspend or terminate your access immediately, without notice, if you materially breach these Terms, violate Section 5 or 6, fail to pay, create risk or legal exposure for us or our users, or if required by Meta or by law.

15.3 By us — for convenience. We may terminate a free Account at any time with reasonable notice, or a paid Account on 30 days' written notice with a pro-rata refund of prepaid, unused fees.

15.4 Effect. On termination, your licence ends, automations stop, link-in-bio pages are taken down, and Meta tokens are revoked. You may export your data during the 30 days before deletion; after that, data is deleted per the Privacy Policy retention schedule.

15.5 Survival. Sections 7.3, 8, 10, 11, 13, 14, 16, 17, 18 and this Section survive termination.


16. Indemnity

You will defend, indemnify, and hold harmless MUAWI, its partners, employees, and agents from and against any third-party claim, demand, loss, liability, damage, fine, penalty, or expense (including reasonable legal fees) arising out of or related to: (a) your Customer Content; (b) your use of the Service; (c) your violation of these Terms, the Meta Terms, or any law; (d) your violation of any third party's rights, including an End User's privacy rights; (e) messages sent through your Connected Account; or (f) any administrative fine, penalty, statutory damages, or regulatory action imposed on MUAWI arising from automations, campaigns, or messages you configure or send through the Service that violate anti-spam, telemarketing, or electronic communications laws (including the U.S. TCPA and CAN-SPAM Act, and India's equivalent regulations).

We will notify you of the claim, give you control of the defence (subject to our right to participate with our own counsel at our expense), and reasonably cooperate. You may not settle a claim in a way that imposes liability or an admission on us without our written consent.


17. Governing law and dispute resolution

17.1 Governing law. These Terms are governed by the laws of India, without regard to conflict-of-laws rules.

17.2 Informal resolution first. Before starting formal proceedings, contact legal@orlin.social with a written description of the dispute. The parties will attempt in good faith to resolve it within 30 days.

17.3 Arbitration. Any dispute not resolved informally will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement (failing which, as provided in the Act). The seat and venue of arbitration is Hyderabad, Telangana, India. The language is English. The award is final and binding.

17.4 Courts. Subject to Section 17.3, the courts at Hyderabad, Telangana, India have exclusive jurisdiction. Either party may seek interim or injunctive relief from a court of competent jurisdiction to protect its intellectual property or confidential information.

17.5 Consumers. Nothing here deprives you of any mandatory protection or forum available to you as a consumer under the law of your country of residence.


18. General

18.1 Entire agreement. These Terms, the Privacy Policy, the Cookie Policy, and any Data Processing Addendum or order form are the entire agreement between us and supersede all prior discussions.

18.2 Changes to these Terms. We may update these Terms. For material changes we will give at least 30 days' notice by email or in-app notice before they take effect. Continued use after the effective date constitutes acceptance. If you do not accept, stop using the Service and cancel; you will receive a pro-rata refund of prepaid, unused fees.

18.3 Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets, on notice to you.

18.4 Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the rest remains in effect.

18.5 No waiver. Failure to enforce a provision is not a waiver of it.

18.6 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, government action, internet or hosting provider failure, or changes to third-party platforms including Meta.

18.7 No agency. Nothing creates a partnership, joint venture, agency, or employment relationship between us.

18.8 Notices. We will send notices to your registered email; you send notices to legal@orlin.social. Notices are deemed received on the day of sending if a business day, otherwise the next business day.

18.9 Language. These Terms are drafted in English. Any translation is for convenience only; the English version governs.
